Stock Slides Amid Promoter Pledge and Revenue Downgrade
Bhavish Aggarwal, CMD of
OLAELEC
, pledged an additional 2% of his stake in Q2FY26 to raise loans for an undisclosed group company—likely his AI venture, Krutrim. This marks his third pledge since Ola Electric’s IPO in August 2024, raising concerns about promoter-level financial strategy and its impact on public shareholders.
- Promoter Pledge Activity:
Aggarwal has now pledged over 10% of his 30.02% stake in Ola Electric. The latest pledge was made to Aditya Birla Capital, with no disclosure on loan size or beneficiary entity. Previous pledges were linked to Krutrim and involved institutions like Axis Trustee, Avendus, and Incred Credit.
- Governance Implications:
While pledging shares is common, using listed company equity to fund private ventures raises governance concerns. Proxy advisory firm InGovern noted that such moves shift risk to public shareholders if the private venture underperforms.
- Stock Performance & Collateral Risk:
Ola Electric’s stock has fallen 41% since listing at ₹76, now trading at ₹44.3. Since the first pledge in November 2024, the stock is down 36%. Aggarwal reportedly topped up collateral by ₹20 crore when shares dipped below ₹50.
- Financial Pressures & Fundraising:
Ola Electric slashed FY26 revenue guidance by nearly a third to ₹3,000–3,200 crore, triggering a double 5% stock drop in one week. The company approved ₹3,200 crore in fundraises over six months—₹1,500 crore equity and ₹1,700 crore via NCDs—to refinance ₹2,114 crore in debt due by FY30.
- Krutrim Status:
Founded in April 2023, Krutrim has yet to show meaningful traction. Its funding via Ola shares adds pressure on Aggarwal to deliver results from the AI venture.
Aggarwal’s repeated pledging of Ola Electric shares for Krutrim raises red flags amid falling stock prices and lowered revenue guidance. While Ola Electric continues to seek capital for its own operations, investor focus will remain on governance transparency, debt management, and Krutrim’s viability.
