BPCL Approves ₹5,000 Crore Fundraise Through NCDs

) has approved raising up to ₹5,000 crore through Non-Convertible Debentures (NCDs) on a private placement basis. The fundraising may be carried out in one or more tranches, with up to 10 tranches permitted over a period of one year. Details such as the timing, size and terms of individual issuances will be decided at the time of each tranche and disclosed as required. What Are NCDs? NCDs are debt instruments through which companies borrow money from investors. Unlike convertible debentures, they do not convert into equity shares. Investors typically receive interest according to the terms of the issue, while the principal is repaid as per the specified maturity structure. For BPCL, the board approval provides a framework to raise debt when required rather than meaning the entire ₹5,000 crore will necessarily be borrowed immediately. The actual impact on the company's finances will depend on the amount raised, interest rates, tenure and the use of proceeds. From a broader perspective, debt fundraising allows companies to access capital without issuing additional equity.
