Vedanta Approves ₹3,500 Crore NCD Fundraise

) has approved raising up to ₹3,500 crore through unsecured NCDs via private placement. The issue can comprise up to 3,50,000 NCDs of ₹1 lakh each and may be issued in one or more tranches. What happened? The NCDs will be rated, listed and redeemable and will be offered to institutional and other eligible investors rather than through a public issue. Vedanta had announced the proposed debt issue earlier this week, with the Committee of Directors approving it on September 18. Why does it matter? This is a debt-raising exercise, so the key question is how the funds affect Vedanta's refinancing requirements and overall debt profile. The company has not yet disclosed the coupon, tenure or interest-payment schedule, which means the cost of this borrowing cannot yet be assessed. My view The ₹3,500 crore size by itself does not tell us whether the refinancing is favourable. The more important variables are the borrowing cost and what debt it replaces. Vedanta's Q1 FY27 results showed a ₹2,223 crore sequential reduction in net debt, so the next step is to see whether this fundraise supports that deleveraging trend or mainly refinances existing obligations. What I am watching next The key triggers are the final coupon, maturity period, allotment and use of proceeds. These will indicate the actual cost and purpose of the new borrowing.
