Bandhan Bank Promoter Stake Sale: Gulf Investors in Talks

International investors, including Abu Dhabi-based IHC and First Abu Dhabi Bank, are reportedly in early-stage discussions to acquire a stake in Bandhan Financial Services (BFSL), the promoter of Bandhan Bank (

BANDHANBNK
). The proposed transaction could provide an exit route for early investors Singapore’s GIC and the International Finance Corporation (IFC). What Is the Deal About? BFSL has reportedly been exploring strategic investors for a 25–32% stake. GIC and IFC together held approximately 30.3% of BFSL at the end of March, with their combined holding potentially valued at $500–600 million. BFSL’s subsidiary, Bandhan Financial Holdings, held a 37.5% stake in Bandhan Bank at the end of June. Under its RBI licensing conditions, the holding company must reduce its stake in the bank to 26% by 2030. However, the discussions remain at an early stage, and there is no guarantee that a transaction will materialise. My View The potential entry of Gulf-based investors could strengthen strategic interest in Bandhan’s financial services ecosystem. However, a stake sale at the promoter level is not the same as a direct investment in Bandhan Bank, and investors should not assume an immediate financial benefit for the bank. The more important factors remain Bandhan Bank’s loan growth, asset quality, net interest margins and return on assets. The bank has also lowered its FY27 return-on-assets guidance, making execution and profitability key monitorables. Investors should distinguish between a potential ownership change at the promoter level and an improvement in the bank’s underlying fundamentals.
