Welspun Plans ₹1,285 Crore Funding for Realty Expansion
Welspun Investments and Commercials has approved funding of up to ₹1,285 crore for its wholly owned subsidiary Vishwakarma Realty, with the investment structured through up to 75 crore compulsorily convertible debentures (CCDs) and 53.5 crore optionally convertible debentures (OCDs), each carrying a face value of ₹10.
Vishwakarma Realty, incorporated on December 11, 2025, operates in real estate and allied activities but has not yet commenced operations; it reported zero turnover in FY26, with net worth and total assets at ₹4.76 lakh as of March 31, 2026. The funding will not alter Welspun Investments’ 100% ownership of the subsidiary and will be deployed in one or more tranches.
Separately, Vishwakarma Realty plans to invest up to ₹1,000 crore in promoter group company Indivara Realty through up to 100 crore OCDs of ₹10 each, subject to required shareholder and regulatory approvals. As Indivara Realty is a promoter group entity, the proposed investment is a related-party transaction, although it is stated to be on an arm’s-length basis.
The transaction structure therefore involves Welspun Investments funding Vishwakarma Realty, which would subsequently deploy up to ₹1,000 crore into Indivara Realty; the company has not disclosed the end use of these funds.
