Sudarshan Chemical Simplifies Colorants Holding Structure

Sudarshan Chemical Industries closed Friday's session at Rs 1,241.50, up 3.12%, after the specialty pigments maker announced it will buy a 15.89% direct stake in its step-down subsidiary Sudarshan Colorants India for Rs 150.76 crore in an all-cash deal, acquiring the shares from its European arm Sudarshan Europe B.V. The Deal in Brief: Sudarshan Colorants commands roughly a fifth of the domestic market in specialty pigments, paint formulations and industrial coatings, and the group's overall economic ownership stays at 70.25% post this transaction. What changes is the structure, not the stake. The 15.89% simply moves from being held indirectly through the European subsidiary to being held directly by the Indian listed parent, under what the company calls its "One Sudarshan" global integration programme. Why It Matters: Collapsing cross-border holding layers lets dividend cash flow from the profitable domestic colorants business reach the listed parent without routing through an intermediate European entity, which should aid balance sheet clarity and simplify compliance and governance reporting going forward. The move comes even as a separate GST and VAT inspection at Sudarshan Colorants' premises, under Section 67 of the GST Act, has reportedly concluded. The stock has traded between Rs 726.60 and Rs 1,361.10 over the past 52 weeks, giving Sudarshan Chemical a market capitalisation of around Rs 9,764 crore. Investors will watch whether the simplified structure translates into better reported numbers from the specialty chemicals arm in coming quarters.
