Adani Enterprises Executes SPA to Acquire AGHPort Aviation Services

Adani Enterprises Limited (AEL) has announced that its wholly owned subsidiary, Adani Airport Holdings Limited (AAHL), has executed a Share Purchase Agreement (SPA) on November 12, 2025 to acquire 100% stake in AGHPort Aviation Services Private Limited. The disclosure, received by AEL on November 13, 2025, was made under Regulation 30 of SEBI (LODR) Regulations, 2015. According to the filing, the agreement was signed between AAHL (buyer), AGHPort Aviation Services Pvt. Ltd. (target) and Indo Thai Airport Management Services Pvt. Ltd. (seller). The transaction aims to strengthen Adani’s airport business portfolio under AAHL, which already manages several major airports across India. Upon completion, AGHPort will become a wholly owned subsidiary of AAHL, further expanding Adani Group’s footprint in the aviation services sector. The company clarified that neither AEL nor AAHL currently holds any stake in AGHPort or the seller entity, and the transaction does not qualify as a related party deal. There are no special rights, share issuances, or potential conflicts of interest involved in this agreement. This acquisition reflects Adani Group’s continued focus on consolidating its airport and allied service operations to create an integrated aviation ecosystem.
