shares as of June 2026, equivalent to 4.31% of the company. The proposed transaction represents substantially its entire disclosed holding. Citigroup Global Markets India is acting as the sole placement agent, with settlement scheduled for September 23.
The floor price of ₹179.50 represents a 7.33% discount to Pine Labs’ previous closing price of ₹193.70. Since this is a secondary transaction, the proceeds will go to Mastercard and Pine Labs will not receive any fresh capital from the sale.
The stake sale comes at a time when Pine Labs has reported improving operating performance. In Q1FY27, revenue from operations increased 19.6% YoY to ₹737 crore, while consolidated net profit rose more than four times to ₹19.6 crore from ₹4.8 crore in the year-ago period.
More importantly, EBITDA increased to ₹95.1 crore from ₹44.6 crore, while EBITDA margin expanded sharply from 7.2% to 12.9%. This indicates improving operating leverage as the company scales its payments and merchant-commerce platform.
