Fortis Healthcare: IHH plans to increase stake to 51%
FORTIS
Fortis Healthcare Limited has reaffirmed its commitment to the Indian healthcare market, with its promoter IHH Healthcare planning to increase its stake in Fortis to 51% over the next 3–5 years.
Key highlights:
On September 25, 2026, the Supreme Court disposed of Fortis Healthcare’s Special Leave Petition (SLP) challenging the Delhi High Court’s order requiring a forensic audit.
IHH stated that its 2018 acquisition of Fortis was conducted through a transparent competitive bidding process with the required corporate and regulatory approvals.
IHH invested ₹4,000 crore for a 31% stake in Fortis through a preferential allotment, followed by the mandatory open-offer process.
IHH clarified that it did not acquire shares from former promoters Malvinder Singh or Shivinder Singh and made no payments to them.
IHH has stated that it will fully cooperate with the forensic audit and expects an independent review to establish the facts surrounding the transaction.
Over the next 3–5 years, IHH plans to increase its stake in Fortis to 51%, further integrate Fortis and Gleneagles, and expand capacity to approximately 10,000 beds by 2031.
Impact: Neutral to Positive. The forensic audit remains an overhang, while IHH’s proposed stake increase, integration plans, and capacity expansion provide long-term growth visibility.
