💼 ED Offers Flipkart Option to Settle FEMA Case by Admitting Violation and Paying Penalty

The Enforcement Directorate (ED) has reportedly offered Flipkart, owned by US retail giant Walmart, the option to close an ongoing FEMA (Foreign Exchange Management Act) violation case if the company admits to its breach, pays a penalty, and dismantles the seller network linked to the alleged violation, according to sources familiar with the development. “ED has given the option of compounding to Flipkart. The agency has asked the company to admit its mistake, pay a penalty, and dismantle the associated seller network,” a source told PTI. Flipkart did not respond to emailed queries, while ED officials have not confirmed the offer publicly. ED sources, however, suggested that no formal compounding offer has yet been made. In parallel, the ED has also summoned Amazon India to assess its compliance status. An Amazon spokesperson said, “We do not comment on ongoing investigations.” The ED’s investigation into Flipkart and Amazon India revolves around alleged breaches of FDI and FEMA norms, including claims that the companies promoted deep discounts through preferred sellers to boost sales — a practice restricted under India’s FDI policy for e-commerce. The ED first issued a show-cause notice to Flipkart and its associates in July 2021, covering alleged violations between 2009 and 2015, prior to Walmart’s majority acquisition of Flipkart in 2018. Subsequent notices have been issued for the period post-acquisition, including one as recently as April 2025.
