Bajaj Finance Capital Raise via QIP and Warrants

has approved a major capital-raising plan of up to ₹17,500 crore, comprising a Qualified Institutions Placement (QIP) of up to ₹11,700 crore and a preferential issue of convertible warrants of up to ₹5,800 crore. The decision was approved by the company’s Board of Directors on October 1, 2026. Under the first component, Bajaj Finance proposes to raise up to ₹11,700 crore through a QIP by issuing equity shares to eligible Qualified Institutional Buyers. A QIP enables a listed company to raise equity capital from institutional investors such as mutual funds, banks and insurance companies. Separately, the company plans to raise up to ₹5,800 crore through a preferential issue of warrants to promoter and holding company Bajaj Finserv Ltd. The warrants will be convertible into an equivalent number of equity shares. Reports indicate that at least 25% of the consideration will be payable upon allotment of the warrants, while the balance 75% will be payable upon conversion into equity shares. The proposed ₹17,500 crore capital infusion can strengthen Bajaj Finance’s capital base and provide additional capacity to support future lending and business growth. At the same time, investors will need to monitor the final issue price, number of securities issued and consequent equity dilution. The transactions remain subject to applicable shareholder, regulatory and other necessary approvals.
