Sudarshan Chemical buys 15.89% Stake in Sudarshan Colorants

Sudarshan Chemical Industries Limited (NSE: SUDARSCHEM)

SUDARSCHEM
has bought a 15.89% direct stake in Sudarshan Colorants India Limited for ₹150.76 crore. It acquired 3,668,036 shares from its wholly-owned subsidiary, Sudarshan Europe B.V. The deal was an off-market inter-promoter transfer. The consideration works out to roughly ₹411 per share (my calculation from the figures above). Why it matters: Sudarshan Europe B.V. now holds none of the Indian company directly. The parent holds the stake itself, so the Indian operating company sits one step closer to the Indian parent. The transfer was done under the inter-se promoter exemption in SEBI’s takeover regulations. My view: this is housekeeping, not a change in control. Total promoter holding in Sudarshan Colorants India is unchanged, so public float and the promoter group’s economic interest stay the same. The money moves between two group entities, so I see no external dilution. The source does not say how the parent funded the payment, and that is the one detail I would want to see. The move also fits the post-acquisition clean-up after the October 2024 agreement to buy Heubach Group’s global pigment business for ₹1,180 crore, where Heubach Colorants India was renamed Sudarshan Colorants India. What I am watching: integration progress on the global pigment operations, and the next quarterly results of both Sudarshan Chemical and Sudarshan Colorants India. Raw material price swings and supply chain disruption are the main risks to pigment margins. Please note that the information shared is intended solely for informational purposes and does not make any investment recommendations.

Sudarshan Chemical outlook revised to Positive

SUDARSCHEM
Sudarshan Chemical Industries Limited (SUDARSCHEM) has received a credit rating update from India Ratings and Research. The outlook on its bank loan facilities and fixed deposits has been revised to Positive from Stable, while ratings have been affirmed. Bank loan facilities are now rated IND AA/Positive/IND A1+. Fixed deposits are rated IND AA/Positive. Commercial paper remains affirmed at IND A1+. The revision reflects a favourable assessment of the company’s credit profile. The key trigger is the outlook upgrade to Positive on AA-rated facilities, signalling improving credit metrics and financial flexibility. This supports the company’s position following recent strategic moves such as the Heubach acquisition and ongoing integration. Peers in the pigments and specialty chemicals space such as Kiri Industries, Bodal Chemicals, and Vidhi Specialty Food Ingredients may face comparison on credit quality and balance-sheet strength. Near-term prices could see a mild positive reaction on the improved credit outlook. Risks include any delay in realising synergies from acquisitions or pressure on operating margins. Competitors listed: Kiri Industries, Bodal Chemicals, Vidhi Specialty Food Ingredients.

Sudarshan Chemical Simplifies Colorants Holding Structure

SUDARSCHEM
Sudarshan Chemical Industries closed Friday's session at Rs 1,241.50, up 3.12%, after the specialty pigments maker announced it will buy a 15.89% direct stake in its step-down subsidiary Sudarshan Colorants India for Rs 150.76 crore in an all-cash deal, acquiring the shares from its European arm Sudarshan Europe B.V. The Deal in Brief: Sudarshan Colorants commands roughly a fifth of the domestic market in specialty pigments, paint formulations and industrial coatings, and the group's overall economic ownership stays at 70.25% post this transaction. What changes is the structure, not the stake. The 15.89% simply moves from being held indirectly through the European subsidiary to being held directly by the Indian listed parent, under what the company calls its "One Sudarshan" global integration programme. Why It Matters: Collapsing cross-border holding layers lets dividend cash flow from the profitable domestic colorants business reach the listed parent without routing through an intermediate European entity, which should aid balance sheet clarity and simplify compliance and governance reporting going forward. The move comes even as a separate GST and VAT inspection at Sudarshan Colorants' premises, under Section 67 of the GST Act, has reportedly concluded. The stock has traded between Rs 726.60 and Rs 1,361.10 over the past 52 weeks, giving Sudarshan Chemical a market capitalisation of around Rs 9,764 crore. Investors will watch whether the simplified structure translates into better reported numbers from the specialty chemicals arm in coming quarters. Sudarshan Chemical acquires 15.89% stake for ₹151 crore

Sudarshan Chemical Industries Limited has agreed to acquire a 15.89% stake in Sudarshan Colorants India Limited for ₹150.76 crore. The transaction involves 36,68,036 equity shares held by its wholly owned subsidiary, Sudarshan Europe B.V., with completion expected on or after September 29, 2026. This forms part of the proposed acquisition of a 70.26% stake in Sudarshan Colorants India, formerly Heubach Colorants India Limited. The company is also exiting non-core operations through the proposed €76.5 million sale of its German subsidiary VP4 Frankfurt GmbH to a buyer belonging to Celanese Corporation. My view: Sudarshan Chemical is consolidating its pigment business while divesting non-core operations. The strategic focus is clear, but the impact on earnings and capital allocation will depend on the completion of both transactions and subsequent financial results. Shares closed at ₹1,199.60 on September 28, down 1.58%. I would watch for completion of the 70.26% acquisition and details of the German divestment before assessing the financial impact.

Sudarshan Chemical Industries – Technical View

The stock

SUDARSCHEM
is showing a strong recovery on the daily chart after forming a low near the ₹750–800 zone. Price has formed higher highs and higher lows indicating that the broader trend has turned positive. The recent move above ₹1200 has strengthened the bullish structure. Support: The immediate support zone is around ₹1200–₹1220 where price has recently shown buying interest. Below this ₹1100–₹1150 can act as the next important support area. Holding these zones would keep the current structure positive. Resistance: The immediate resistance is around ₹1300–₹1350 where the stock is currently facing supply. A decisive breakout and sustained trading above this zone can open the way for further upside. Failure to cross this area may keep the stock range-bound in the near term. Short-Term View: Short-term buyers can watch the ₹1300–₹1350 breakout zone for confirmation rather than chasing the price inside the current range. A breakout with strong price action can support further bullish momentum. A break below ₹1200 would weaken the immediate setup.
