Sudarshan Chemical buys 15.89% Stake in Sudarshan Colorants

Sudarshan Chemical Industries Limited (NSE: SUDARSCHEM)

SUDARSCHEM
has bought a 15.89% direct stake in Sudarshan Colorants India Limited for ₹150.76 crore. It acquired 3,668,036 shares from its wholly-owned subsidiary, Sudarshan Europe B.V. The deal was an off-market inter-promoter transfer. The consideration works out to roughly ₹411 per share (my calculation from the figures above). Why it matters: Sudarshan Europe B.V. now holds none of the Indian company directly. The parent holds the stake itself, so the Indian operating company sits one step closer to the Indian parent. The transfer was done under the inter-se promoter exemption in SEBI’s takeover regulations. My view: this is housekeeping, not a change in control. Total promoter holding in Sudarshan Colorants India is unchanged, so public float and the promoter group’s economic interest stay the same. The money moves between two group entities, so I see no external dilution. The source does not say how the parent funded the payment, and that is the one detail I would want to see. The move also fits the post-acquisition clean-up after the October 2024 agreement to buy Heubach Group’s global pigment business for ₹1,180 crore, where Heubach Colorants India was renamed Sudarshan Colorants India. What I am watching: integration progress on the global pigment operations, and the next quarterly results of both Sudarshan Chemical and Sudarshan Colorants India. Raw material price swings and supply chain disruption are the main risks to pigment margins. Sudarshan Chemical Simplifies Colorants Holding Structure

SUDARSCHEM
Sudarshan Chemical Industries closed Friday's session at Rs 1,241.50, up 3.12%, after the specialty pigments maker announced it will buy a 15.89% direct stake in its step-down subsidiary Sudarshan Colorants India for Rs 150.76 crore in an all-cash deal, acquiring the shares from its European arm Sudarshan Europe B.V. The Deal in Brief: Sudarshan Colorants commands roughly a fifth of the domestic market in specialty pigments, paint formulations and industrial coatings, and the group's overall economic ownership stays at 70.25% post this transaction. What changes is the structure, not the stake. The 15.89% simply moves from being held indirectly through the European subsidiary to being held directly by the Indian listed parent, under what the company calls its "One Sudarshan" global integration programme. Why It Matters: Collapsing cross-border holding layers lets dividend cash flow from the profitable domestic colorants business reach the listed parent without routing through an intermediate European entity, which should aid balance sheet clarity and simplify compliance and governance reporting going forward. The move comes even as a separate GST and VAT inspection at Sudarshan Colorants' premises, under Section 67 of the GST Act, has reportedly concluded. The stock has traded between Rs 726.60 and Rs 1,361.10 over the past 52 weeks, giving Sudarshan Chemical a market capitalisation of around Rs 9,764 crore. Investors will watch whether the simplified structure translates into better reported numbers from the specialty chemicals arm in coming quarters. Disclosure: Palash Kag, Proprietor, Sarathi Research (SEBI Reg. No. INH000012740). No position held in Sudarshan Chemical Industries. Sudarshan Chemical acquires 15.89% stake for ₹151 crore

Sudarshan Chemical Industries Limited has agreed to acquire a 15.89% stake in Sudarshan Colorants India Limited for ₹150.76 crore. The transaction involves 36,68,036 equity shares held by its wholly owned subsidiary, Sudarshan Europe B.V., with completion expected on or after September 29, 2026. This forms part of the proposed acquisition of a 70.26% stake in Sudarshan Colorants India, formerly Heubach Colorants India Limited. The company is also exiting non-core operations through the proposed €76.5 million sale of its German subsidiary VP4 Frankfurt GmbH to a buyer belonging to Celanese Corporation. My view: Sudarshan Chemical is consolidating its pigment business while divesting non-core operations. The strategic focus is clear, but the impact on earnings and capital allocation will depend on the completion of both transactions and subsequent financial results. Shares closed at ₹1,199.60 on September 28, down 1.58%. I would watch for completion of the 70.26% acquisition and details of the German divestment before assessing the financial impact.

Sudarshan ChemStrong Growth and Portfolio Restructuring

SUDARSCHEM
reported strong Q1 FY2Sudarshan Chemical: Strong Growth and Portfolio Restructuring7 performance, with net profit rising sharply YoY to ₹103.4 crore. The company is also restructuring its 70.26% stake in Sudarshan Colorants India by bringing the business directly under the listed entity. The internal restructuring does not change ownership or operations but should simplify the group structure and improve transparency around the pigment business. Separately, Sudarshan Chemical is selling its German tolling unit, VP4 Frankfurt GmbH, to Celanese for €76.5 million and acquiring a pigment plant in Muttenz, Switzerland. The transactions indicate a strategic shift in capital towards its core pigment business, with proceeds from the divestment helping fund the acquisition. The focus on higher-margin pigments could support long-term growth and improve the quality of earnings.

SUDARSCHEM

Sudarshan Chemical is a global heavyweight in the pigment industry, with products used in everything from plastics to cosmetics. The company has taken a massive leap by acquiring Heubach (referred to as UBC in the discussion), one of the world's largest pigment players. This acquisition makes them a top global contender. They have a portfolio of 1,600 products and serve 4,000+ customers across 100 countries. The strategy here is a "turnaround"—the management aims to quintuple the acquired company's profits (EBITDA) from 19 million euros to 100 million euros over the next few years.
